HOAStrategy.com is operated by Real Estate Genius Incorporated.
1. Acceptance of Terms
By accessing or using HOAStrategy.com (the Tool), you agree to be bound by these Terms of Service (Terms). If you do not agree, do not use the Tool.
These Terms are a binding agreement between you and Real Estate Genius Incorporated. If you use the Tool on behalf of an HOA or other entity, you represent that you have authority to bind that entity.
You must be at least 18 years old to use the Tool.
2. Description of Service
HOAStrategy.com is an AI powered document search and reference service designed to help users locate, extract, and summarize information within uploaded HOA governing documents, including CC and Rs, bylaws, rules, policies, and related materials.
The Tool generates automated outputs. Outputs are not reviewed by an attorney before display.
3. No Legal Advice
The Tool does not provide legal advice.
Nothing generated by the Tool constitutes legal advice, legal opinion, or a recommendation. The Tool is not a substitute for advice from a qualified attorney. No attorney client relationship is created by use of the Tool.
You are solely responsible for verifying outputs against original documents and applicable law and for obtaining legal counsel before making governance or enforcement decisions.
4. AI Output Risks and Limitations
You acknowledge and agree that:
- Outputs are generated by automated systems and may be inaccurate, incomplete, misleading, or outdated.
- The Tool may produce different outputs for similar prompts.
- The Tool does not apply federal, state, or local law to your facts.
- The Tool may not reflect amendments unless uploaded.
- Automated systems can generate plausible but incorrect content.
You agree to independently verify all outputs before acting on them.
5. User Responsibilities and Acceptable Use
You agree that you will:
- Upload only documents you have authority to share.
- Avoid uploading highly sensitive personal information unless necessary.
- Not represent outputs as legal advice.
- Not misuse the Tool, including attempting to reverse engineer, disrupt, probe, scrape, or bypass access controls.
- Comply with all laws and with these Terms.
6. Your Content, License, and Data Use for Improvement
6.1 Your Content
You may upload documents, text, and other materials (User Content). You retain ownership of your User Content.
6.2 License to Operate the Tool
You grant Real Estate Genius Incorporated a non exclusive, worldwide, royalty free license to host, store, reproduce, process, transmit, and display User Content solely to provide, maintain, secure, and improve the Tool.
6.3 Model Improvement and Prompt Optimization
You agree that Real Estate Genius Incorporated may retain and use User Content and related usage data to improve the Tool, including for analytical training, prompt optimization, evaluation, and quality assurance. This may include using third party AI service providers to process User Content.
Where feasible, we will use reasonable measures to minimize personal information in datasets used for improvement, including redaction, aggregation, and de identification practices. However, de identification is not guaranteed for all content.
6.4 Opt Out of Improvement Use
You may opt out of using your User Content for improvement by emailing tony@huntermason.com with the subject line "Training Opt Out". Opting out may limit certain quality improvements but will not prevent processing needed to provide the service.
7. Privacy and California Notices
Our Privacy Policy explains how we collect, use, disclose, and retain information and how you can exercise California privacy rights, including access, deletion, and correction requests. The Privacy Policy is incorporated by reference.
California residents may request deletion of personal information and uploaded documents. We will respond within the time required by law, generally within 45 days.
8. Third Party Processors
The Tool may use third party cloud, security, and AI processing providers. We may share User Content and related data with these providers as needed to operate, secure, and improve the Tool. We use commercially reasonable safeguards and contractual protections where appropriate.
9. Disclaimer of Warranties
The Tool is provided as is and as available. To the maximum extent permitted by law, Real Estate Genius Incorporated disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non infringement.
We do not warrant that the Tool will be uninterrupted, error free, accurate, reliable, or secure.
10. Limitation of Liability
To the fullest extent permitted by law, Real Estate Genius Incorporated will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to your use of the Tool or reliance on outputs.
If Real Estate Genius Incorporated is found liable for any claim, total liability will not exceed the greater of: (A) the amount you paid for the Tool in the 12 months before the claim, or (B) 100 USD.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless Real Estate Genius Incorporated and its officers, directors, employees, contractors, and affiliates from claims, damages, liabilities, losses, and expenses, including reasonable attorneys fees, arising out of or related to:
- Your willful misuse of the Tool
- Your violation of these Terms
- Your unauthorized upload or disclosure of documents
- Your infringement of another party rights
12. Changes to These Terms
We may update these Terms from time to time.
For non material changes, we may post an updated version and update the Last Updated date.
For material changes, we will provide notice by email or in product notice and require affirmative acceptance at next login or account action before the material changes apply.
13. Dispute Resolution, Arbitration, and Governing Law
13.1 Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
13.2 Small Claims Option
Either party may bring an individual action in California small claims court if it qualifies.
13.3 Agreement to Arbitrate
Except for small claims actions and any claims that by law cannot be required to be arbitrated, you and Real Estate Genius Incorporated agree to resolve disputes arising out of or relating directly to your use of the Tool through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
Arbitration will take place in Los Angeles County, California. The arbitrator may award the same damages and relief that a court could award.
13.4 30 Day Opt Out
You may opt out of arbitration and the class action waiver below by sending an email to tony@huntermason.com within 30 days of creating your account. The email subject line must be "Arbitration Opt Out" and include your name and the email used for your account. If you opt out, disputes will be resolved in court, consistent with Section 13.1 and 13.2.
13.5 Class Action Waiver
You and Real Estate Genius Incorporated agree that claims must be brought in an individual capacity only and not as a plaintiff or class member in any class, consolidated, or representative proceeding.
If a court determines that this class action waiver is unenforceable for a particular claim, then that claim will proceed in court and not in arbitration.
14. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
15. Entire Agreement
These Terms and the Privacy Policy are the entire agreement between you and Real Estate Genius Incorporated regarding the Tool.
